MUTUAL NON-DISCLOSURE INSTRUMENT

This instrument is issued after receipt of the engagement deposit (reference [Deposit reference]). It is drafted from the Disclosing Party’s intake, for review by independent counsel. It is not a substitute for legal advice.

1. PARTIES
Staticdesigns, a private 3D design studio in Yorkville, Toronto, Ontario, Canada (“Staticdesigns”), and [Legal name], [Role] of [House / office] (“Disclosing Party”), email [Email]. Counsel for the Disclosing Party: to be named.

2. PURPOSE
The parties will exchange information solely to design, model, mill, or record the following work: Object.
Stated intent of the Disclosing Party: [State, in your own words, what must exist.]

3. CONFIDENTIAL INFORMATION
“Confidential Information” means all information, drawings, models, digital twins, materials, names, dates, prices, and ideas relating to the Purpose, whether marked or not, including: [Name what must never leave the room.]
No materials are deemed exchanged until listed in a later schedule.

4. PERMITTED AUDIENCE
Staticdesigns may disclose Confidential Information only to the Disclosing Party and their independent legal counsel only, and only as needed for the Purpose. No marketing list, no public file, no press.

5. USE AND CARE
Each party will use Confidential Information only for the Purpose, keep it with the care it uses for its own sensitive matters, and not reverse-engineer physical studies except as required to complete the work.

6. TERM
Obligations continue until the Disclosing Party issues a written release. Return or destroy Confidential Information on written request, except one archival copy required by law or a sealed vault record owned by the Disclosing Party.

7. PUBLICATION
No public date is set. Silence is the default. Staticdesigns will not publish, exhibit, or name the work unless the Disclosing Party writes that it may.

8. NO LICENCE
Nothing in this instrument transfers intellectual property. Models and twins made for the engagement are held for the Disclosing Party under the studio’s vault protocol.

9. GOVERNING LAW
This instrument is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of Toronto have exclusive jurisdiction.

10. ISSUE
Issued in counterpart (including electronic signature) as of the Effective Date.
